Susan R. George

Susan George's practice focuses on commercial real estate, corporate and general commercial transactions. Her real estate practice covers all aspects of commercial real estate, including acquisition, development, financing, leasing and disposition of all types of commercial real estate. Her corporate/commercial practice centers on the formation and restructuring of commercial entities, including corporations, partnerships and limited liability companies, as well as the acquisition, financing and disposition of business enterprises, the preparation of various contracts and agreements, and the representation of clients in their ongoing business activities. Susan also has commercial litigation and bankruptcy experience and has practiced in Texas state courts as well as the United States Courts of Appeals for the Second and Fifth Circuits, the United States District Court for the Southern District of Texas, and the United States Bankruptcy Courts for the Northern, Eastern, Southern and Western Districts of Texas.

• Represented privately held oil field servicing company in a $7.5 million asset sale to a publicly traded oil field product and service supplier.
• Represented regional produce distributor in an asset sale to a national distribution company.
• Represented private school in a $16 million asset sale to an international education company.
• Continuing representation of international education company as local counsel.
• Represented construction company in connection with corporate restructuring.
• Prepared private placement memoranda and related documents for a $1.6 million private offering by an emergency room management company.
• Continuing representation of local real estate developers in connection with the development of shopping centers in the Houston area.
• Continuing representation of a prominent condominium developer in connection with condominium projects in Houston, Galveston, Dallas, South Padre Island and Las Vegas, Nevada.
• Represented local real estate developers in connection with the mixed use re-development of three city blocks in downtown Waco, Texas.
• Continuing representation of a dot-com company in connection with raising equity capital in connection with the development of its website.
• Representation of local real estate developers in connection with the acquisition of raw land and subsequent development of a $25 million multi-family project.
• Continuing representation of several residential subdivision developers in connection with acquiring land and developing residential and mixed-use subdivisions in the greater Houston metropolitan area.
• Continuing representation of emergency room management company in connection with raising capital and the formation of freestanding emergency rooms and diagnostic imaging centers.
• Continuing representation of local car wash chain in connection with the development and construction of seven express car wash facilities.
• Continuing representation of out-of-state lender in connection with real estate loans in Texas ranging from $10 million to $30 million.
