• Counsel for general contractor in the negotiation of design/build and related construction contracts for a new corporate headquarters facility financed under a synthetic lease 
• Counsel for formation of limited liability company and structuring of specific project agreements for pursuit of large commercial projects in multi-state region
• Counsel for design/builder on $50 million fast track detention center project contract
• Counsel for international manufacturer in connection with the negotiation of supply agreements and strategic alliance agreements for turbine generators and other power-related equipment both domestically and abroad
• Represented real estate developer in preparing and negotiating contracts with design professionals and general contractor for multiple-phase high-rise condominium project
• Advised commercial general contractor on the establishment of a rolling Contractor Controlled Insurance Program to improve jobsite safety performance and control insurance costs
• Counsel to major restaurant chain in preparation of construction/contract documents for use in constructing restaurants and other facilities
• Represented Texas municipality in preparation of construction/contract documents

• Represented construction firm in a multi-party, complex construction and engineering trial that resulted in a jury verdict in excess of $60 million; four-month trial resulted from disputes related to the construction of two gas processing plants in Louisiana
• Represented subcontractor in the settlement of multi-party, document-intensive payment claim case involving sports arena and including the public sports authority
• Represented highway contractor in resolution of complex construction lawsuit involving construction of a bridge and $40 million in claims by a South African steel supplier
• Represented mechanical contractor in the collection of a government payment bond claim from payment bond surety for Houston Intercontinental Airport project
• Negotiated confidential settlement of $100 million complex construction lawsuit involving environmental remediation of a Superfund site
• Negotiated settlement of delay claims for general contractor against architects and engineers and owner of church and school project
• Negotiated settlements of significant construction defect claims involving chemical plant piping welds
• Negotiated settlements of builder’s risk claims regarding underground and building construction in case in which insurers initially refused to accept coverage
• Arbitrated multi-million-dollar contract dispute regarding security facilities at Houston Hobby Airport and Houston Intercontinental Airport
• Defended commercial contractor from claims of bank and its employees related to alleged release of asbestos-containing materials during interior demolition
• Defended multi-million-dollar construction defect case involving water intrusion and allegedly defective installation of stucco, windows and flashing
• Defended multi-party toxic tort cases involving alleged property and bodily injury due to concrete dust
• Negotiated settlement of injunction that threatened to stop construction of high-rise condominium
• Defended utility contractor against subcontractor’s multi-million-dollar claim for extra costs and standby charges for suspension of marine power line construction
• Counsel for west coast general contractor presenting and resolving complex delay and impact claims by the general contractor and trade subcontractors for high-rise hotel project that experienced differential settlement during construction due to inadequate foundation design
• Represented national general contractor in multi-party construction defects/mold litigation asserted by public owner and over 2,500 individual plaintiffs, including related insurance coverage litigation

Commercial Real Estate

• Represented local real estate developers in connection with the acquisition of raw land and subsequent development of a $25 million multi-family project
• Continuing representation of several residential subdivision developers in connection with acquiring land and developing residential and mixed-use subdivisions in the Houston area
• Continuing representation of local real estate developers in connection with the development of shopping centers in the Houston area
• Represented several restaurant chains in connection with leasing restaurant space throughout Texas
• Continuing representation of out-of-state lender in connection with real estate loans in Texas ranging from $10 million to $30 million
• Continuing representation of both landlords and tenants in connection with commercial lease negotiations

Corporate TRANSACTIONS

• Represented privately held food distributor in sale of business to a national food distribution company
• Represented family-owned oil and gas services company in connection with sale of business for $7.5 million to a publicly traded oil and gas services company
• Represented a local entrepreneur in the purchase of a private school and the subsequent sale of the school to an international education venture 
• Continuing representation of an emergency room management company in connection with raising capital and the formation of freestanding emergency care and diagnostic imaging centers
